I can vouch for Auberge du Soleil. It was one of the first luxury resorts in the Napa area, and remains one of the best. The property is perched on a hillside overlooking the entire valley, the amenities are many and the staff is five-star.
If staying at Auberge is out of your budget, you should at least make an effort to dine there. The dining room has spectacular vistas, over 1300 wines and is reasonably priced.
By far, the most romantic hotel in Napa is the uber private, luxury, Poetry Inn on the grounds of Cliff Lede. Perched on a hill, it overlooks the entire valley. The smallest room is 850 sq feet, all with fireplaces/balconies/massive bathrooms w/ indoor/outdoor showers. It's a true (undiscovered) find. http://www.poetryinn.com/
I'm also a fan of Carneros Inn...a little farther from the main napa attractions, but the individual 'home' concept is charming and the grounds are beautiful. http://www.thecarnerosinn.com/thecarnerosinn/

I'll second the Carneros Inn. I was there last year over Thanksgiving. The setting is beautiful, the food wonderful, and the views are amazing from the top of the hill.
I'll also mention the Villagio Inn, http://www.villagio.com/ It's located in downtown Yountville, and you can easily walk to lots of great restaurants and small wine rooms around town.

I personally prefer Sonoma (particularly the Dry Creek Valley) over Napa when visiting "Wine Country."
